Terms of Service

Last updated: July 2026

These terms govern use of the oToK platform — the otok.io website, the web application at app.otok.io, the oToK mobile apps, and the API — operated by Cnergia Education Ltd., an Israeli company, company no. 515780724 ("oToK", "we", "us"). Registering for or using the service constitutes acceptance of these terms. The Privacy Policy published on this site complements these terms and forms an integral part of them. oToK is a business tool, and the service is intended for business use.

1. The service

oToK is a multichannel marketing, automation and CRM platform: messaging channels (WhatsApp via Meta's Business Platform and email), a website chat button that connects site visitors to WhatsApp, campaigns and automations, contact management, landing pages and forms, newsletters, events, payment collection through integrated payment providers, a developer API, and AI assistance tools. Features and limits vary by plan, as described on the site.

2. Eligibility and account

The service is available to persons aged 18 or over, for business use. Registration requires accurate, up-to-date details, which you must keep current. You are responsible for keeping your credentials confidential and for all activity in your account, and you must notify us promptly of any unauthorized use. If you register for or use the service on behalf of a business, you represent that you are authorized to bind it; "the customer" in these terms means that business, and these terms bind both you and it.

3. Workspaces and team

A workspace is the customer's environment on the platform. The workspace owner controls team members, roles and permissions, and is responsible for their actions; data in a workspace is under the owner's control. A workspace may also be managed by an authorized third party, whose actions bind the customer. Agency arrangements — under which the workspace may be held and administered by the agency — are governed by the separate agreements referred to in section 18.

4. Plans, payments and renewal

• Plan prices are stated in ILS and include VAT, unless stated otherwise. • Subscriptions renew automatically each period (monthly or yearly), and the payment method on file is charged at renewal. • If a charge fails, we may retry it over a short grace period; if payment is not completed, the subscription may be downgraded or paid features suspended. • Upgrades take effect immediately, with a prorated charge for the remainder of the period. A billing-cycle change that involves an additional charge also takes effect immediately — charged for the new cycle less credit for the unused remainder of the current period; downgrades, and cycle changes not involving an additional charge, take effect at the next renewal. • Add-ons renew together with the subscription or are one-time purchases, depending on their type. • Cancellation takes effect at the end of the current billing period, with access retained until then. • Prices may change with advance notice, effective from the next renewal. • Fees are non-refundable, except as required by applicable law.

5. Acceptable use

You may not use the service for unlawful, deceptive, infringing or harmful activity; you may not distribute malware, scrape data, overload our systems, or circumvent security measures or plan limits; and you must comply with the policies of the connected platforms.

6. Messaging and recipient consent

Marketing messages may be sent only to recipients who gave prior consent in accordance with applicable law — including section 30A of the Israeli Communications Law (Telecommunications and Broadcasts), 1982, which requires express prior consent, identification of the message as an advertisement where required, and a working opt-out mechanism under which opt-out requests are honored promptly — and, where applicable, foreign law such as the EU GDPR. WhatsApp messaging is additionally subject to Meta's opt-in and messaging policies. Obtaining and documenting consent is solely your responsibility. The platform's consent-management, unsubscribe and suppression tools must not be circumvented. We may throttle, limit or suspend sending that appears to violate these obligations, or that harms deliverability or the platform's sending reputation — including through automatic protections.

7. Third-party platforms and integrations

The channels the service provides depend on third parties — Meta/WhatsApp, email infrastructure providers and others. Connecting your own accounts (Meta business assets, payment providers, Zoom, Salesforce, and similar services) is subject to those parties' terms and fees, and by connecting them you authorize the data exchange the integration requires. Third parties may change or restrict their services and APIs, and we are not responsible for that. Payments you collect from your own customers run through your own account with your payment provider — we are not a party to those transactions.

8. Your data

Your data — contacts, content and messages — belongs to you. You are the data controller, and oToK processes the data on your behalf to operate the service, as described in the Privacy Policy (including the sub-processor list there). You warrant that you hold the necessary rights and a lawful basis for all data you upload, in particular contact lists. Export tools are available in the platform; upon termination, data is retained and deleted in accordance with the Privacy Policy. The full Data Processing Agreement (DPA) is available at otok.io/dpa and forms part of these terms.

9. AI features

AI features are optional. They are served either through our platform account (metered in credits per plan, subject to fair use) or through provider API keys you connect yourself (subject to your own agreement with that provider). AI output is generated automatically and may be inaccurate — review it before use. You are responsible for the content you send or publish, including AI-generated content. We do not use customer content to train AI models of our own.

10. Developer API

API keys are confidential and your responsibility. Use the API within the rate limits we apply, as published or communicated from time to time; abusive use and resale of raw access are prohibited. We evolve the API on an ongoing basis, and breaking changes to stable versions will be announced with reasonable advance notice. A key involved in abuse or a security risk may be suspended.

11. Intellectual property

All rights in the platform, its design and the oToK trademarks are reserved to us. Content you upload remains yours, and you grant us a license to use it solely to operate the service. Feedback and suggestions you provide may be used by us without obligation. The oToK name and logo may not be used without permission.

12. Service changes, beta features and availability

The service is under continuous development: features may be added, changed or discontinued, with reasonable advance notice for material removal of paid functionality. Beta and preview features are provided as-is and may change or end at any time. We aim for high availability but do not guarantee uninterrupted service; maintenance and third-party dependencies may cause interruptions. Support is provided per plan, through the published channels. No SLA applies unless separately agreed in writing.

13. Suspension and termination

You may stop using the service at any time. We may suspend an account that violates these terms after reasonable notice — and immediately in cases of severe violation, for example spam, a security risk or legal exposure. If a violation is not cured or recurs, we may terminate the account after notice; we may also terminate these terms where legally required or if we discontinue the service, with reasonable advance notice. Cancelling a paid subscription is governed by section 4. Export any data you need before termination takes effect; data retention and deletion follow the Privacy Policy. Sections that by their nature are meant to survive termination continue to apply.

14. Disclaimer of warranties

The service is provided as-is and as-available, without warranty of fitness for a particular purpose or of uninterrupted, error-free operation. Results also depend on factors outside our control — deliverability, recipient behavior and third-party platforms.

15. Limitation of liability

We are not liable for indirect damages, lost profits or the availability of third-party platforms, including WhatsApp. Our aggregate liability is limited to the amounts paid to us in the twelve months preceding the event. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Indemnification

You will defend and indemnify oToK against third-party claims arising from your data, from your messaging — including violations of consent obligations or anti-spam rules — or from your breach of these terms or of applicable law.

17. Changes to these terms

We may update these terms. Material changes will be announced in advance by email or by in-app notice. For a prepaid yearly period, a material adverse change takes effect at the next renewal, unless the change is required by law or by a third-party platform. Continued use after the effective date constitutes acceptance of the updated terms. The current version and its date appear on this page.

18. General; governing law

• These terms are governed by Israeli law, and the competent courts of Israel have exclusive jurisdiction. • Participation in the affiliate program is subject to the program terms published on the site's affiliates page; agency and partner arrangements are subject to separate written agreements. • We may assign these terms as part of a merger or acquisition; you may not assign them without our consent. • If any provision of these terms is held invalid, the remaining provisions remain in effect. Failure to enforce a right is not a waiver of it. These terms, together with the Privacy Policy and any program terms or separate written agreements referred to in them, are the entire agreement between us regarding the service. • We are not liable for delay or failure caused by circumstances beyond our reasonable control (force majeure). • Notices to you will be delivered to your account email address or by in-app notice; notices to us may be sent to [email protected]. General questions can be sent through the site's contact page.
